NOTETRACKS INC. PRIVACY POLICY

THIS NOTETRACKS INC. PRIVACY POLICY OUTLINES THE POLICIES AND PROCEDURES OF NOTETRACKS INC.  ("NOTETRACKS") ON THE COLLECTION, USE AND DISCLOSURE OF USER INFORMATION ON THE NOTETRACKS PRO PLATFORM AND THE SERVICES, FEATURES, CONTENT OR APPLICATIONS OFFERED BY NOTETRACKS (“THE SERVICE"). 

DESCRIPTION

Notetracks collects information about Users from various sources, including: 

(i)          when a User Signs Up for The Service and creates an Account on The Service (“Account");
(ii)         a Users use of The Service generally;
(iii)        and from third party websites, third party  partners, and services; or
(iv)        from one-time invitations to access functionality sent by Users within The Service.

WHEN USING THE SERVICE, USERS CONSENT TO THE COLLECTION, TRANSFER, MANIPULATION, STORAGE, DISCLOSURE AND OTHER USES OF THEIR INFORMATION AS DESCRIBED IN THIS PRIVACY POLICY. Any terms used but not defined in this Privacy Policy are defined in the Notetracks Terms of Service (“Terms”) available at www.notetracks.com/pro/terms

If a User is located in the European Union ("EU"), United Kingdom, Lichtenstein, Norway, Iceland or Switzerland, they may have additional rights under the EU General Data Protection Regulation ("GDPR") with respect to their Personal Data, as outlined below. If the User is located in the state of California, they may have additional rights under the California Consumer Privacy Act (“CCPA”). If the User is located in Australia, they may also have rights under the Australian Privacy Principle as outlined in the Australian Privacy Act 1988 (“Privacy Act”). Users from other jurisdictions that have Privacy Acts may also have rights, updated from time to time in this Privacy Policy by Notetracks. 

Notetracks will control all User’s Personal Data that is provided, collected, and/or processed pursuant to this Privacy Policy. If any User has any questions about whether any of the foregoing applies to them, please contact Notetracks using the information set forth in the " Contact" section below.

OVERVIEW

This Privacy Policy covers Notetracks’ handling practices and how Personal Data is collected and used when Users access or use The Service. This Privacy Policy also covers Notetracks’ treatment of any Personal Data that business partners of Notetracks share with the company or that Notetracks shares with their business partners.

In this Privacy Policy, "Personal Data" generally means information that can be used to individually identify a person, and "processing" generally covers actions that can be performed in connection with data such as collection, use, storage, and disclosure. This Privacy Policy does not apply to the practices of third parties that Notetracks does not own or control, including but not limited to any third party websites, services and applications ("Third-Party Services") that a User elects to access through The Service or to individuals that Notetracks does not manage or employ. While all attempts are made to facilitate access only to those Third-Party Services that share Notetracks’ respect for User privacy, Notetracks cannot take responsibility for the content or privacy policies of those Third-Party Services.

Notetracks encourages all Users to carefully review the privacy policies of any Third-Party Services that they access.

DATA COLLECTION

Notetracks collects Personal Data about a User when this information is provided directly to Notetracks, when third parties, including Notetracks business partners or service providers provide Notetracks with Personal Data about a User, or when Personal Data about a User is automatically collected in connection with their use of The Service.

Personal Data collected directly from Users when they provide Notetracks with such Personal Data, includes but is not limited to the following:

Account Information

When a User creates an Account, they will provide information that could be Personal Data, such as a name, username, password, email address, profile picture, location, and company affiliation. Users acknowledge that this information may be personal to them, and by creating an Account on The Service and providing Personal Data to Notetracks, Users allow others, including Notetracks, to identify them and therefore may not be anonymous. Notetracks may use contact information to send information about The Service, but only rarely when Notetracks feels such information is important. Users may unsubscribe from these messages through the Account settings or via the email communication, although Notetracks, regardless, reserves the right to contact any User when necessary, such as for account recovery purposes or urgent account related inquiries.

User Content

The Service allows Users to provide Content to The Service, such as written comments. Subject to this Privacy Policy, all content submitted by a User to The Service may be retained by Notetracks after a User terminates their account. Notetracks may continue to disclose such Content to third parties in a manner that does not reveal Personal Data, as described in this Privacy Policy.

Financial Information

Notetracks does not currently collect financial information, such as payment method (valid credit card number, type, expiration date or other financial information); that information is collected and stored by Notetracks’ third party payment processing company, Stripe Inc., (the "Payment Processor"). Use and storage of this data is governed by the Payment Processor's applicable terms of service and privacy policy, available at www.stripe.com.

Third-Party Sources

Notetracks business partners and service providers (including, but not limited to those who provide services related to customer messaging, surveying, advertising, marketing, social media, and analytics), provide Notetracks with Personal Data, including platform activity data, survey responses, account information for third party services, information from our advertising partners and User name and email address from participation in referral and promotional codes programs. 

INFORMATION COLLECTED

Personal Data automatically collected when using The Service includes the following:

Automated IP Address & Other Information Collected

Notetracks automatically receives and records information from a web browser when a User interacts with The Service, including an IP address, device ID, and cookie information. This information is used for fighting spam/malware and also to facilitate collection of data concerning a User’s interaction with The Service (e.g., what links are clicked on).

Generally, The Service automatically collects usage information, such as which parts of the Site is used and the number and frequency of visitors to the Site. Notetracks may use this data in a manner that would identify a User personally. This type of data enables Notetracks and third parties authorized by Notetracks to figure out how often individuals use parts of The Service for analysis and improvements. 

COOKIES

Cookies are pieces of text that may be provided to a User’s computer through a web browser when they access a website. The browser stores cookies in a manner associated with each website visited. Cookies are used to enable Notetracks servers to recognize a User’s web browser and to inform Notetracks on how and when a User visits the Site and otherwise uses The Service through the Internet.

Notetracks uses cookies to identify that a User’s web browser has accessed aspects of The Service and may associate that information with a User’s Account.

Most browsers have an option for turning off the cookie feature, which will prevent a browser from accepting new cookies, as well as (depending on the sophistication of the browser software) allowing a User to decide on acceptance of each new cookie in a variety of ways. Notetracks strongly recommends this action to best take advantage of the most attractive features of The Service.

This Privacy Policy covers Notetracks’ use of cookies only and does not cover the use of cookies by third parties. Notetracks does not control when or how third parties place cookies on any computer. For example, third party websites to which a link points may set cookies on a computer.

Session cookies are temporary cookies that are stored on a device while visiting the Notetracks’ Website or using The Service, whereas persistent cookies are stored on a device for a period of time after a User leaves the Notetracks website or The Service. Essential cookies are required for providing Users with features or services that have been requested. For example, certain cookies enable Users to log into secure areas of The Service. Disabling these cookies will make certain features and services unavailable.

Functional cookies are used to record a User’s choices and settings regarding The Service, maintain preferences over time and recognize the User upon returning to The Service. These cookies help to personalize content for the User, greeting by name, and remembering preferences (for example, choice of language or region). Performance or analytical cookies allow an understanding of how visitors use The Service by collecting information about the number of visitors to the website, what pages visitors view on the website and how long visitors are viewing pages on the website. Performance or analytical cookies also help measure the performance of advertising campaigns in order to help improve campaigns and content on The Service for those who engage with Notetracks‘ advertising.

Retargeting or advertising cookies collect data about online activity and identify interests so that Notetracks can provide advertising that is relevant to Users.

Email Communications

Notetracks may receive a confirmation when a User opens an email from the company. This information is used to improve customer service.

Analytics Data

Notetracks collects analytics data, or uses third-party analytics tools, to help measure traffic and usage trends for The Service. These tools collect information sent by a browser or mobile device, including the pages visited, use of third-party applications, and other information that assists in analyzing and improving The Service.

Aggregate Information

Notetracks collects statistical information about how both unregistered and registered Users, collectively, use The Service. Some of this information is derived from Personal Data. While Aggregate Information is not Personal Data, it may be tied back to the User, their Account or web browser.

PERSONAL DATA USE

Notetracks processes Personal Data to operate, improve, understand, and personalize The Service. For example, Personal Data is used to:
(i)           Operate, maintain, and provide features and services on The Service;
(ii)          Respond to User inquiries;
(iii)         Provide support and assistance for The Service;
(iv)         Personalize content and communications based on preferences;
(v)          Maintain interoperability with third party services;
(vi)         Conduct online behavioral advertising;
(vii)        Remember information so that Users will not have to re-enter it during visits or the next time a User visits the Site;
(viii)        Comply with Notetracks’ legal or contractual obligations;
(ix)         Provide and monitor the effectiveness of The Service;
(x)          Protect against or deter fraudulent, illegal, or harmful actions;
(xi)         Serve relevant advertisements;
(xii)        Monitor aggregate metrics such as total number of visitors, traffic, usage, and demographic patterns on the company’s website and The Service;
(xiii)       Diagnose or fix technology problems;
(xiv)       Complete corporate transactions such as mergers and acquisitions; and
(xv)        Enforce the Notetracks Terms.

Notetracks will only process Personal Data when having a lawful basis for doing so. Lawful bases for processing include consent, contractual necessity and "legitimate interests", as further described below.

Contractual Necessity

Notetracks will process some Personal Data as a matter of "contractual necessity", meaning that processing the data is necessary to perform under our Terms, which enables Notetracks to provide Users with The Service. Failure to provide such Personal Data will result in a User’s inability to use some or all portions of The Service that require such data.

Legitimate Interest

Notetracks processes the following categories of Personal Data when the company believes it furthers the legitimate interest of Notetracks or third parties. Examples of these legitimate interests include:

(i)           Operation and improvement of Notetracks’ business, products and services
(ii)          Marketing of Notetracks’ products and services
(iii)         Provision of customer support
(iv)         Protection from fraud or security threats
(v)          Compliance with legal obligations
(vi)         Completion of corporate transactions

Consent

In some cases, Notetracks will process Personal Data based on the consent expressly granted at the time Notetracks collects such data. When Personal Data is processed based on a User’s consent, it will be expressly indicated to the User at the point and time of collection.

Other Processing Grounds

From time to time Notetracks may also need to process Personal Data to comply with a legal obligation, if it is necessary to protect the vital interests of the User or other data subjects, or if it is necessary for a task carried out in the public interest.

SHARING DATA

The Service is designed to help collaborate and share information with others. As a result, some of the information generated through The Service is shared publicly or with third parties. Personal Data is shared in the instances described below.

Public Information

Some of a User’s activity on and through The Service may be made public. This may include, but is not limited to, content a User has posted publicly on the Site or otherwise through The Service.

Account Owners may have some of this information associated with their Accounts. Users without an Account will not have this association, but information concerning their use of The Service (such as what pages they have visited) may be tracked anonymously through the use of cookies and stored by Notetracks.

If a User chooses to provide Personal Data using certain public features of The Service, then that information is governed by the privacy settings of those particular features and may be publicly available. Individuals reading such information may use or disclose it to other individuals or entities without our control and without knowledge, and search engines may index that information. 

NOTETRACKS STRONGLY RECOMMENDS THAT A USER THINK CAREFULLY ABOUT INCLUDING SPECIFIC INFORMATION CONSIDERED PRIVATE WHEN SUBMITTING CONTENT THROUGH THE SERVICE. 

IP Address Information

While Notetracks collects and store IP address information, that information is not made public. Notetracks will, at times, however, share this information with partners, service providers and other persons with whom Notetracks conducts business as specified in this Privacy Policy.

Electing to Share Information

THE USER IS RESPONSIBLE FOR READING AND UNDERSTANDING THIRD PARTY SERVICES AND THIRD PARTY PARTNERS PRIVACY POLICIES. Notetracks is not responsible for the privacy policies and/or practices of these Third-Party Services. This Privacy Policy only governs information collected on The Service.

Aggregate Information

Notetracks shares Aggregate Information with partners, service providers and other persons with whom Notetracks conducts business. Statistical data is shared so that partners can understand how and how often people use The Service and their services or websites, which facilitates improving both their services and how The Service interfaces with them. In addition, these third parties may share with Notetracks non-private, aggregated or otherwise non-Personal Data about Users that they have independently developed or acquired.

Email Communications with Notetracks

As part of The Service, a User may occasionally receive email and other communications from Notetracks, such as communications relating to a User’s Account. Communications relating to any Account will only be sent for purposes important to The Service, such as password recovery.

User Profile Information

User profile information, including names and other information entered may be displayed to other Users to facilitate User interaction within The Service. Notetracks will not directly reveal User email addresses to other Users.

Financial Information

As stated above, Notetracks does not currently collect financial information, as that information is collected and stored by the Payment Processor. However, Notetracks may from time to time request and receive some of financial information from the Payment Processor for the purposes of completing transactions Account Owners have initiated through The Service, enrolling Users in discount, rebate, and other programs in which Users elect to participate, protecting against or identify possible fraudulent transactions, and otherwise as needed to manage the business.

Information Shared with Agents

Notetracks employs and contracts with people and other entities that perform certain tasks on the company’s behalf and who are under the company’s control ("Agents"). These Agents work on behalf of Notetracks and provide the company with services related to the purposes described in this Privacy Policy. Notetracks shares Personal Data with these third parties as needed to perform services and under reasonable confidentiality terms. These parties include:

(i)           Fraud prevention and spam service providers;
(ii)          Ad networks and exchanges;
(iii)         Analytics service providers;
(iv)         Hosting service providers;
(v)          Monitoring service providers;
(vi)         Data management platforms;
(vii)        Security service providers;
(viii)       Payment processors;

Notetracks may also share information with third parties and Agents when given consent to do so.

Information Disclosed Pursuant to Business Transfers

In some cases, Notetracks may choose to buy or sell assets. In these types of transactions, User information is typically one of the transferred business assets. Moreover, if Notetracks were acquired or to go out of business or enter bankruptcy, User information would be one of the assets that is transferred or acquired by a third party. All Users acknowledge that such transfers may occur, and that any acquirer of Notetracks or the company’s assets may continue to use the User’s Personal Data as set forth in this policy.

Information Disclosed to Protect Notetracks and Others

Notetracks also reserves the right to access, read, preserve, and disclose any information as it reasonably believes is necessary to 
(i)           satisfy any applicable law, regulation, legal process, or governmental request;
(ii)          enforce this Privacy Policy and Terms, including investigation of potential violations hereof;
(iii)          detect, prevent, or otherwise address criminal (including fraud), security or technical issues;
(iv)         respond to User support requests;
(v)          investigate and defend Notetracks against any third-party claims or allegations;
(vi)         protect Notetracks rights, property, or safety, as well as Users and the public;
(vii)        or maintain the security of The Service. 

This includes exchanging information with other companies and organizations for fraud protection and spam/malware prevention.

SECURITY

Account information will be protected by a password for privacy and security. Users need to prevent unauthorized access to Account and Personal Data by selecting and protecting a password appropriately and limiting access to their computer and browser by signing off after having finished accessing an Account or The Service.

Notetracks will always seek to protect Account information to ensure that it is kept private; however, Notetracks cannot guarantee the security of any Account information. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of User information at any time.

Notetracks will otherwise store all of information, including IP address information, using appropriate technical and organizational measures based on the type of Personal Data and applicable processing activity. Notetracks does not guarantee or warrant that such techniques will prevent unauthorized access to information about Users that is stored, Personal Data or otherwise.

ACCESSING STORED INFORMATION

Account Owners can access information associated with an Account by logging into The Service. All Users can also access and delete cookies through their web browser settings.

California residents can ask for a copy of a notice identifying the categories of personal customer information shared with affiliates and/ or third parties for marketing purposes that includes contact information for such affiliates and/or third parties. The notice can be submitted directly to Notetracks on support@notetracks.com 

ACCOUNT DELETION

Should an Account be terminated, any association between the Account and information stored will no longer be accessible through the Account. However, given the nature of sharing on The Service, any public activity on the Account prior to deletion will remain stored on the servers and will remain accessible to the public. Please note that Notetracks will need to verify that the applicant has the authority to delete the Account.

USER INFORMATION RETENTION CHOICES 

Limited Use

Users can use some of the features of The Service without registering, thereby limiting the type of information collected. HOWEVER, REFUSAL TO DISCLOSE CERTAIN INFORMATION MAY REDUCE THE NUMBER OF FEATURES AVAILABLE. 

Email Opt-Out

If a User does not want to receive promotional emails, the User can click the "unsubscribe" button on the promotional email communications or email Notetracks with the subject "Marketing Opt-Out". Note that Users will not be able to unsubscribe or opt-out of non-promotional messages regarding their Account, such as account verification, password reminders, changes, or updates to features of The Service, or technical and security notices.

BEHAVIORAL ADVERTISING & TRACKING TOOLS

Users can opt-out of certain Behavioral Advertising activities by doing one or more of the following. Please note that Users will need to opt-out of each browser and device where the opt-out feature needs to be applied.

Service Provider Opt-Out

Users can opt-out directly from some advertising service providers and providers of tracking tools by using their opt-out tools. 

Web / Mobile Browser Controls

A User can prevent the use of certain tracking tools, such as cookies, on a device-by-device basis using the controls in the web browser under the appropriate browser setting. 

Do Not Track

A browser may offer a "Do Not Track" option, which allows for signalling to operators of websites and web applications and services (including behavioral advertising services) that the User does not wish such operators to track certain online activities over time and across different websites. 

THE SERVICE DOES NOT OFFER A DO NOT TRACK OPTION AT THIS TIME. Notetracks collects information about a User’s online activity both while using the Service and after leaving The Service. Notetracks collects certain persistent identifiers from a browser or mobile device to assist with providing and improving The Service. Because Notetracks collects browsing and persistent identifier data (only for analytic and internal purposes), selecting any "Do Not Track" option provided by a mobile browser will not have any effect on the collection of analytics information or the collection of a persistent identifier.

Notes on Opting-Out of Behavioral Advertising

Some opt-out features are cookie-based, resulting in an "opt-out" cookie being placed on a computer or other device indicating that Behavioral Advertising from certain companies is not of interest. BUT IF COOKIES ARE DELETED, IF A DIFFERENT BROWSER OR DEVICE IS USED, THE OPT-OUT CHOICE MUST BE RENEWED. 

OPTING OUT OF BEHAVIORAL ADVERTISING DOES NOT ELIMINATE ONLINE ADS. It only means that such ads will no longer be tailored to a User’s specific viewing habits or interests. Ads on and about The Service may still appear.

Third Party Cookies

This Privacy Policy does not cover the use of cookies by any third parties. Notetracks is not responsible for Third Party privacy policies and practices. Users should be aware that some cookies placed by Third Parties can continue to track activities online even after a User has left The Service.

DATA RETENTION

Notetracks will retain Personal Data about all Users for as long as the have an open account or as otherwise necessary to provide The Service, and for an additional two years or until Notetracks receives a request to delete it. 

In some cases, Notetracks will retain Personal Data for longer, if doing so is necessary to comply with legal obligations, resolve disputes or collect fees owed, or is otherwise permitted or required by applicable law, rule, or regulation. Afterwards, Notetracks may retain some information in a depersonalized or aggregated form but not in a way that would identify any User personally.

AMENDMENTS

Notetracks may amend this Privacy Policy from time to time. Use of information collected now is subject to the Privacy Policy in effect at the time such information is used. If any material changes in the way Notetracks collects or uses information occurs, Users will be notified through the posting of an announcement on The Service or the sending of an email and/or by some other means. Each time a User uses The Service or provides information, the User accepts the practices described in this Privacy Policy as applicable at that time.

DATA TRANSFER

The Service is hosted and operated in the United States (“US”) and potentially in other territories however all functionality and data are administered and controlled by Notetracks in Canada. By using The Service, Users acknowledge that any Personal Data, regardless of whether provided by the User or obtained from a third party, is being hosted on US servers, and the User authorizes Notetracks to transfer, store and process information to and in the US and possibly other countries. The User hereby consents to the transfer of their data to the US as set forth herein.

EU USER RIGHTS

If a User is located in the EU, the United Kingdom, Lichtenstein, Norway, or Iceland, and uses or accesses The Service, they may have certain rights with respect to their Personal Data, clarified below. In some cases, Notetracks may also need additional information, which may include Personal Data to verify a User’s identity and the nature of their request.

Access

A User can request more information about the Personal Data held and request a copy of such Personal Data. Users can also access certain of their Personal Data by logging into their Account.

Rectification

If a User believes that any Personal Data being held is incorrect or incomplete, they can request the correction or supplementation of such data. Users can also correct some of this information directly by logging into their Account. Please contact Notetracks as soon as possible upon noticing any such inaccuracy or incompleteness.

Erasure

Users can request the erasure of some or all of their Personal Data from the Notetracks systems by contacting Notetracks using the information provided below.

Withdrawal of Consent

If Notetracks processes Personal Data based on consent (as indicated at the time of collection of such data), Users have the right to withdraw their consent at any time. Please note, however, that if this right is exercised, USERS MAY HAVE TO PROVIDE EXPRESS CONSENT ON A CASE-BY-CASE BASIS FOR ANY USE OR DISCLOSURE OF PERSONAL DATA, if such use or disclosure is necessary to enable a User to utilize some or all of The Service. 

Portability

Users can ask for a copy of their Personal Data in a machine-readable format, or request that Notetracks transmits the data to another controller where technically feasible.

Objection

A User can contact Notetracks to object to the further use or disclosure of Personal Data for certain purposes. Users can choose to stop using The Service, cancel a Subscription or ask for confirmation of the deletion of the data at this point. 

Restriction of Processing

A User can ask Notetracks to restrict further processing of Personal Data. Users can choose to stop using The Service, cancel a Subscription or ask for confirmation of the deletion of the data at this point.

Right to File Complaint

Users have the right to lodge a complaint about Notetracks’ practices with respect to Personal Data with the supervisory authority of their country or EU Member State. NOTETRACKS WILL MAKE ALL ATTEMPTS TO COMPLY WITH ANY AND ALL REQUESTS BEFOREHAND TO RESOLVE ANY ISSUE.
